Terms of Service of the PaneaMCP connector
English translation provided for convenience. In case of discrepancy, the Italian version prevails.
1. Subject matter and parties
Panea S.r.l., with registered office at Via G. Conforti 2/M, 87100 Cosenza (CS), Italy, tax code and VAT number 18160651008 (hereinafter "Panea"), makes available to its Customers the PaneaMCP connector (hereinafter the "Connector"), which allows an artificial intelligence agent chosen by the Customer (hereinafter the "AI Agent") to access, through predefined functions, the data managed in the eLaborHub payroll and human resources software.
These Terms govern the use of the Connector by the natural persons authorised by the Customer and provided with personal named credentials (hereinafter the "User" or "Authorised Users"). The relationship between Panea and the Customer is governed by the PaneaMCP service supply agreement (MCP General Terms and Conditions), which prevails in the event of conflict, together with the mandatory provisions of law.
2. Access and credentials
Access takes place exclusively with named, personal credentials, issued at the Customer's request and associated with the role and the companies for which the User is authorised.
Transferring or sharing credentials, user accounts or access tokens is prohibited. The User keeps their credentials with due care and reports without delay to Panea and to the Customer any loss, theft, compromise or suspicious use. In such cases Panea may revoke tokens, terminate sessions and suspend access.
3. AI Agent
The AI Agent and its provider (hereinafter the "AI Provider") are chosen, configured and contracted by the Customer. Panea does not provide the AI Agent, has no contractual relationship with the AI Provider and does not receive the User's conversations with the AI Agent.
The User uses the Connector exclusively with the AI Agent authorised by the Customer. Connecting the Connector to consumer plans or licences of the AI Agent that provide, even only as a default setting, for the use of content, requests or responses to train or improve models is not permitted.
4. Permitted uses
The Connector is intended to support administrative and management activities relating to personnel and payroll, such as personal-data searches, summaries and statements on labour and holiday costs, consultation of holidays, leave and deadlines, preparation of communications and notifications, and aggregate analyses that cannot be attributed to individual workers.
The User uses only the data necessary for the activity for which they are authorised, in compliance with the Customer's instructions, confidentiality obligations and applicable law. Access to the Connector does not extend the authorisations already granted to the User.
5. Prohibited uses
It is prohibited to use the Connector and the outputs of the AI Agent to:
a) adopt or support decisions based solely on automated processing concerning workers;
b) draw up rankings, league tables or scores of workers, or compare them with one another by name;
c) profile workers or reconstruct their behavioural profiles, including through repeated queries over time on the same person;
d) monitor or assess the performance, behaviour, productivity, attendance or conduct of individual workers, or control their activity remotely;
e) provide elements for decisions on individual workers, such as hiring, shifts, duties, renewals, disciplinary measures, bonuses or promotions.
It is also prohibited to access irrelevant or unauthorised data, circumvent controls or limits, carry out unauthorised bulk extractions, compromise the service or interfere with its operation, enter credentials, tokens or secrets into the AI Agent, and enter workers' personal data in feedback reports.
6. Functions with effects on third parties
Functions that produce effects on third parties, such as sending e-mails and scheduling notifications, are reserved to Users with the administrator role and, where the AI Agent allows it, require explicit confirmation before execution.
Before confirming, the User checks recipients, content, attachments and timing. The User and the Customer are responsible for the recipients, content and timing of communications.
7. Nature of the Connector and limits of outputs
The Connector is a technical tool providing authenticated and logged access to predefined eLaborHub functions: it is not an artificial intelligence system and does not generate, analyse or assess content. Processing is carried out by the AI Agent chosen by the Customer.
The outputs of the AI Agent may be inaccurate, incomplete, out of date or misleading. The User checks their correctness and completeness before any use and does not rely on them exclusively. Outputs do not constitute legal, tax, social security, employment law or accounting advice, nor binding decisions.
8. Usage limits, security and suspension
Panea applies rate and usage limits and may temporarily block access when they are exceeded; the block is a technical security measure and the User may ask Panea or their administrator to review it.
Panea may suspend access in whole or in part, including for an individual User, in the event of suspected breach of these Terms, security risk, compromise of credentials, anomalous use, request by the authorities or withdrawal of authorisation by the Customer.
Operations performed through the Connector are logged as set out in the Privacy Notice.
9. Availability and changes
Panea provides the Connector with the professional diligence required, without guaranteeing that it is always available or free from errors. Panea may modify, limit or disable individual functions for technical, security or compliance reasons. Service levels are governed by the agreement with the Customer.
10. Liability
To the extent permitted by law and except in cases of wilful misconduct or gross negligence, Panea is not liable for damages arising from the AI Agent and the AI Provider, from the requests made by the User, from outputs and decisions taken on the basis of them, from confirmations given without adequate verification or from use of the Connector in breach of these Terms. The provisions of the agreement with the Customer and liabilities that cannot be excluded by law remain unaffected.
11. Reports and support
The User stops using the Connector and reports without delay anomalous results, access to unexpected data, incorrect sends or suspected security breaches. Technical support for the Connector is available at assistenzaMCP@paneagroup.it, as provided for in the agreement with the Customer.
12. Personal data
The processing of the User's personal data is described in the Privacy Notice of the Connector, available at https://mcp.paneagroup.it/privacy?lang=en.
13. Acceptance and versions
These Terms, the Disclaimer on the limits of artificial intelligence and the Privacy Notice are presented to the User at first access and at every new version, on the consent page of the authentication service, before any token is issued. Panea records the date and time, the User and the version accepted.
Acceptance is contractual in nature and constitutes acknowledgement of the conditions of use and prohibitions; it does not constitute consent to the processing of personal data within the meaning of Article 6(1)(a) of Regulation (EU) 2016/679.
14. Governing law
These Terms are governed by Italian law.
DECLARATION OF ACCEPTANCE
By confirming on the consent page, the User declares that they have read and understood these Terms of Service, the Disclaimer on the limits of artificial intelligence and the Privacy Notice, that they accept their conditions and that they are aware that every output of the AI Agent must be checked before use.
